1. Purpose and scope: These terms and conditions govern the use by any business user, worldwide, of the Axians applications published by Axians Business Management Solutions or professional services provided by Axians Business Management Solutions. The application or professional service is distributed through Microsoft AppSource and integrates with Microsoft Dynamics 365 Business Central. These terms and conditions are subject to French law.
  2. Access, License and Restrictions: Subject to compliance herewith, Axians Business Management Solutions grants a non-exclusive, non-transferable, revocable license to use the application for the internal needs of the User Company. Any reverse engineering, modification, rental, sublicense, or use in violation of applicable laws is prohibited. The application requires an eligible Microsoft environment, and a valid subscription managed by Microsoft.
  3. Role of Microsoft and data: The application operates within the Microsoft SaaS environment. All data processed is that of the customer and is hosted and managed by Microsoft under its own terms and security measures. Axians Business Management Solutions does not access the customer’s data via the application and does not process it in any way within the meaning of the Personal Data Regulations within the scope of the standard use described by the customer.
  4. Evolutions, availability and support: Axians Business Management Solutions can offer updates, patches or new versions. The application is provided « as is » and its availability depends on Microsoft services, among other things. Standard support can be provided by Axians Business Management Solutions via contact.bms@axians.com.
  5. Warranties and liabilities: To the extent permitted by law, the application or professional service is provided without warranty of fitness for a particular purpose or error-free. Axians Business Management Solutions shall not be liable for any downtime, loss of profits, loss of data, indirect, special, incidental or consequential damages. Axians Business Management Solutions’ aggregate liability hereunder is limited to the amounts excluding taxes paid to Axians Business Management Solutions for the application or the professional service during the last twelve (12) months preceding the chargeable event. This clause does not limit liability in the event of fraud, gross negligence or injury to life, limb or health, to the extent provided for by applicable law.
  6. Legal Compliance: The user warrants that he or she is using the application or professional service in accordance with applicable laws, including the export control and anti-corruption rules of his or her country. This is intended for professional users; they do not fall within the scope of the consumption regime..
  7. Term and Termination: These Terms and Conditions are effective upon installation and remain in effect as long as the application or professional service is used. Axians Business Management Solutions may suspend or terminate access in the event of a violation of these Terms and Conditions. Upon termination, the user ceases all use.
  8. Intellectual property: Axians Business Management Solutions and its licensors retain all right, title and interest in and to the application or the professional service and its documentation. No rights are granted beyond the above license of use.
  9. Applicable law and competent jurisdiction: These terms and conditions are governed by French law. Any dispute shall be submitted to the competent courts of Nanterre, notwithstanding multiple defendants or third-party claims, subject to the mandatory rules of international jurisdiction.
